This software is commercial. It is not open source, and no rights are granted by
possession of a copy. The rights below are granted only to a purchaser of a valid
license, and only while that license is valid.
Definitions
Software means the source code, compiled assets, stylesheets, documentation
and any updates supplied under this license.
Licensee means the individual or legal entity that purchased the license.
Project means one application: a single codebase, owned by one client or
product, together with every environment it is deployed to, including production,
staging, testing and local development copies.
Grant
Each license covers one Project. It is non-exclusive, non-transferable except
as set out below, and revocable on breach.
Within the licensed Project, the Licensee may:
- install and use the Software, in development and in production;
- allow any number of developers working on that Project to use it;
- modify the Software for that Project's own use;
- keep copies in private version control, private package registries, build
artifacts and backups;
- deploy the Project to any number of servers or environments.
A license may be transferred once, with the Project it covers, when ownership of
that Project passes to another party, provided the transferor keeps no copy and
the recipient accepts these terms. A Licensee building a Project for a client may
purchase the license on the client's behalf and transfer it on delivery.
Restrictions
The Licensee may not:
- use the Software in more than one Project under a single license;
- publish, share, sell, rent, lend, sublicense or otherwise distribute the
Software or any part of it, in source or compiled form, to anyone outside the
licensed Project;
- place the Software in a public repository, a public package registry, a
publicly readable bucket, or any other publicly accessible location;
- share license keys, download credentials or repository access;
- include the Software, modified or not, in a theme, template, starter kit,
boilerplate, plugin, course or other product supplied to third parties;
- remove or alter copyright, license or attribution notices.
Delivering a client Project that contains the Software, under its own license, is
not distribution for the purposes of this section, provided the client receives
the Software only as part of that Project.
Updates
A purchase includes updates for one year from the date of purchase.
Use of every version received during that year is perpetual: when the update
period ends, the Licensee may keep using and deploying what they already have,
for as long as they wish, under these terms. Versions published after the period
ends require a renewal.
Third-party components
The Software includes third-party components under their own licenses, listed in
THIRD-PARTY-NOTICES.md. Nothing here limits the rights those licenses grant, and
nothing there grants rights to the rest of the Software.
Warranty
The Software is provided "as is", without warranty of any kind, express or
implied, including but not limited to the warranties of merchantability, fitness
for a particular purpose and noninfringement.
Liability
To the fullest extent permitted by law, the total liability of the copyright
holder under this license, on any theory, is limited to the amount the Licensee
paid for the license. The copyright holder is not liable for lost profits, lost
data, business interruption or any indirect, incidental, special or consequential
damages.
Termination
This license terminates automatically if the Licensee breaches any of its terms.
On termination the Licensee must stop using the Software and delete every copy,
except copies required by law or held in immutable backups.
Purchases
Payment, invoicing, taxes and refunds are handled by the reseller the license was
purchased through, under that reseller's own terms. Where those terms conflict
with this license on any of those subjects, the reseller's terms govern.
Governing law
This license is governed by the laws of the Federative Republic of Brazil, and
the courts of the licensor's domicile have exclusive jurisdiction, without
prejudice to any mandatory consumer protection rights the Licensee holds in their
own country of residence.
If any provision is held unenforceable, the rest remains in force.
